What this ally is
This is the only ring that takes no shares at all, and that is deliberate.
A property owner does not want to be a partner in an operating business; it wants the building to produce income without putting capital at risk. So the deal is a revenue share, not equity: 7.5% of gross receipts from the first dollar, no rent, no minimum, no ceiling. We fund the build-out and the operation. You supply the shell, the corridors, the parking, and your lender's consent.
Because the share is calculated on gross receipts rather than profit, it works for a real estate investment trust. Rent tied to profit creates tax problems for a REIT; a fixed percentage of gross does not.
02
Who it suits
- You own a dark anchor box — a mall owner, a freestanding big-box owner, a special servicer, or a vehicle that buys these
- One party controls the ground, the threshold and the corridor
- Your loan documents allow a revenue-share arrangement — lender consent is a precondition
- You can authorise use of the common areas, the parking and the frontage
- You can carry the local permitting
03
What you put in
- The shell, delivered to an agreed standard
- Corridors, parking and frontage
- Lender and title consents
- Local permitting support
04
What you get back
- 7.5% of gross receipts from the floor, from the first dollar
- No capital at risk — we fund the build-out and the operation
- Measurement and audit rights
- A term of [10] years plus [2 × 5]-year options
05
What you would actually do
- Deliver the shell on the agreed date — we open within 90 days of delivery
- Keep the corridors, parking and common areas available
- Maintain the consents for the term
- Direct the mall's existing foot traffic to the floor
06
How the shares are earned
There are no shares to earn here, so there is no vesting. The only mechanism is the rate itself: late shell delivery costs [p] points off the rate until delivery.
